1. Acceptance of Terms

2. Services Provided

iTechtics provides comprehensive digital services including but not limited to:

  • Web Development: WordPress development, full-stack web development, e-commerce solutions, custom theme and plugin development, API development and integration
  • Mobile App Development: iOS, Android, and cross-platform application development
  • Digital Marketing: SEO services, social media marketing, PPC advertising, content writing
  • Design & Branding: Graphic design, brand identity design, logo design, UI/UX design
  • Business Solutions: CRM consulting and integration, IT service management, website maintenance and support, web hosting services

3. Service Agreements

3.1 Project Proposals and Contracts

All projects begin with a detailed proposal outlining scope, deliverables, timeline, and costs. Upon acceptance, a formal contract or Service Agreement will be executed between iTechtics and the Client.

3.2 Fixed-Price Projects

For fixed-price projects:

  • The scope of work is clearly defined in the project proposal
  • Any changes or additions to the scope will be subject to additional charges
  • Payment milestones are established based on project phases
  • Final payment is due upon project completion and client approval

3.3 Hourly Rate Projects

For hourly-based projects:

  • Our standard rate ranges from $50-75 per hour depending on the service type and complexity
  • Time tracking is maintained and provided to clients upon request
  • Invoices are issued weekly or monthly as agreed
  • Minimum billing increment is 15 minutes

3.4 Retainer Agreements

For ongoing maintenance and support:

  • Retainer hours are pre-purchased and used as needed
  • Unused hours typically roll over for one billing cycle unless otherwise specified
  • Priority support is provided to retainer clients

4. Client Responsibilities

4.1 Timely Communication

Clients agree to:

  • Respond to requests for information within 48 hours during business days
  • Provide necessary access credentials, content, and materials promptly
  • Review and approve deliverables within agreed timeframes
  • Participate in scheduled meetings and calls

4.2 Content and Materials

Clients are responsible for:

  • Providing accurate, lawful, and appropriate content
  • Ensuring they have rights to all materials provided
  • Obtaining necessary licenses for third-party assets
  • Compliance with applicable laws and regulations

4.3 Delays Caused by Client

Project timelines may be extended if delays are caused by client-side factors including late content delivery, delayed approvals, or unavailability for required consultations. Such delays do not affect payment obligations.

5. Intellectual Property Rights

5.1 Custom Work

Upon full payment, clients receive full ownership of custom-developed code, designs, and content created specifically for their project, excluding:

  • Pre-existing proprietary tools and frameworks
  • Third-party plugins, themes, or components
  • Reusable code libraries and methodologies

5.2 Third-Party Components

Projects may include third-party components subject to their respective licenses:

  • WordPress core and plugins (GPL license)
  • Premium themes and plugins (subject to their licenses)
  • APIs and integrations (subject to provider terms)
  • Stock photos and assets (subject to licensing agreements)

5.3 Portfolio Rights

iTechtics retains the right to showcase completed projects in our portfolio, marketing materials, and case studies unless a non-disclosure agreement specifies otherwise.

6. Payment Terms

6.1 Payment Schedule

Standard payment structure for fixed-price projects:

  • 50% upfront: Due upon contract signing to initiate project
  • 25% mid-project: Due at agreed milestone (typically 50% completion)
  • 25% final payment: Due upon project completion and before final delivery

6.2 Accepted Payment Methods

  • Bank wire transfer
  • PayPal
  • Payoneer
  • Credit/Debit cards (via secure payment gateway)

6.3 Late Payments

Invoices are due within the specified timeframe (typically 7-14 days). Late payments may result in:

  • Project work suspension until payment is received
  • Late payment fee of 1.5% per month on overdue amounts
  • Removal of website or service access for hosting/maintenance clients

6.4 Currency

All prices are quoted in US Dollars (USD) unless otherwise specified. Currency conversion fees, if any, are the responsibility of the client.

7. Project Timeline and Delivery

7.1 Estimated Timelines

Project timelines are estimates based on the defined scope and assume timely client cooperation. Actual delivery dates depend on:

  • Project complexity and scope
  • Client feedback and approval speed
  • Availability of required third-party services
  • Unforeseen technical challenges

7.2 Project Completion

A project is considered complete when all agreed deliverables have been provided and approved by the client. The 30-day post-launch support period begins after project completion.

8. Revisions and Changes

8.1 Included Revisions

Our standard packages include a specified number of revision rounds (typically 2-3 rounds depending on service type) for each deliverable.

8.2 Additional Revisions

Revisions beyond the included rounds will be charged at our standard hourly rate. Major scope changes require a new proposal and additional payment.

8.3 Scope Creep

Features or requirements not included in the original scope constitute additional work and will be quoted separately.

9. Website Hosting and Maintenance

9.1 Hosting Services

For clients using our web hosting services:

  • Hosting is provided through our partners
  • Services include NVMe cloud infrastructure, global data centers, Imunify360 security, and automated JetBackup
  • Monthly or annual billing options available
  • 99.9% uptime guarantee (SLA as per hosting provider terms)

9.2 Maintenance Services

Website maintenance includes:

  • WordPress core, theme, and plugin updates
  • Security monitoring and hardening
  • Regular backups
  • Performance optimization
  • Minor content updates (as per plan limits)

9.3 Service Continuity

Hosting and maintenance services require ongoing payment. Non-payment may result in service suspension or termination after appropriate notice.

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that:

  • Services will be performed with reasonable care and skill
  • Custom code will be free from material defects for 30 days post-launch
  • Websites will function as specified in the approved proposal

10.2 No Guarantee of Results

While we strive for excellence, we cannot guarantee specific results including but not limited to:

  • Search engine rankings or SEO results
  • Website traffic levels or conversion rates
  • Social media engagement or follower growth
  • Sales or revenue increases

10.3 Third-Party Services

We are not responsible for:

  • Downtime or issues with third-party services (hosting providers, APIs, payment gateways)
  • Changes to third-party platforms or policies
  • Costs associated with third-party services

DISCLAIMER: Services are provided “as is” without warranty of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

11.1 Maximum Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

11.2 Excluded Damages

We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of procurement of substitute services
  • Damages arising from client’s use or inability to use services

11.3 Client Indemnification

Client agrees to indemnify and hold iTechtics harmless from any claims arising from:

  • Content provided by the client
  • Client’s violation of laws or third-party rights
  • Client’s breach of these Terms

12. Confidentiality

12.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the project, including:

  • Business strategies and plans
  • Technical specifications and methodologies
  • Financial information
  • Customer data

12.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available
  • Was known prior to disclosure
  • Is independently developed
  • Must be disclosed by law

13. Termination

13.1 Termination by Client

Clients may terminate services with written notice. Upon termination:

  • Client is responsible for payment of all work completed to date
  • Client receives all completed deliverables upon full payment
  • Refunds are subject to our Refund Policy
  • No refund for unused retainer hours

13.2 Termination by iTechtics

We may terminate services if:

  • Client fails to make required payments
  • Client materially breaches these Terms
  • Client engages in abusive or harassing behavior
  • Project requirements violate laws or our policies

13.3 Effect of Termination

Upon termination, all outstanding invoices become immediately due and payable.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control including natural disasters, war, terrorism, labor disputes, government actions, internet outages, or other acts of God.

15. Dispute Resolution

15.1 Good Faith Negotiations

Parties agree to first attempt to resolve disputes through good faith negotiations.

15.2 Mediation

If negotiations fail, parties agree to attempt mediation before pursuing litigation.

15.3 Governing Law

These Terms are governed by the laws of Pakistan. For international clients, disputes may be resolved under international arbitration rules as mutually agreed.

15.4 Jurisdiction

Legal proceedings shall be conducted in Punjab, Pakistan, unless otherwise agreed in writing.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Service Agreement and Privacy Policy, constitute the entire agreement between the parties.

16.2 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of services constitutes acceptance of modified Terms.

16.3 Severability

If any provision is found unenforceable, the remaining provisions shall remain in full effect.

16.4 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

16.5 Assignment

Clients may not assign or transfer these Terms without our written consent. We may assign these Terms to affiliates or successors.

16.6 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, or employment relationship between the parties.
